Amendment to ASHBA Governance Documents

On December 16, 2024, the Board of Directors amended the Bylaws and Code of Conduct of the Association to align those documents with our strategic plan and update them to fully integrate the organization. The key changes:
Bylaws (Amending the version adopted in 2021 in connection with the Registry Merger)
•Added a non-voting category of membership for legal entities that compete or transact business with the Association. (Membership fee waived if person with signature authority is an active competing member)
•Cleaned up director election language following the merger with the Registry (the Association now has 18 directors, serving for 3-year terms in 3 classes).
Note: this revision of the Association’s bylaws does not change the method of election of directors (currently by the Board with nomination input through member-elected nominating committee members), but the Board is considering how voting members may more directly participate in the election of some or all directors.
Code of Conduct (Originally adopted in 2019)
•Removed the provisions related to the Conduct Review Committee and complaint submission and review process (relocated to Complaint Review and Disciplinary Procedures).
•Star Shows are now considered “members” for purposes of filing conduct complaints for alleged violations that occur at such shows.
Registry Rules and Regulations (Updated periodically)
•Changed provisions to integrate the processes in the Complaint Review and Disciplinary Procedures.
Complaint Review and Disciplinary Procedures – New Document
•This document combines and makes consistent the processes and disciplinary actions that were formerly separately contained in the Code of Conduct and the Registry Rules and Regulations.
•Notarization is no longer required to file a complaint.
•The committee that hears complaints (Rules and Conduct Committee) has no responsibility for rule changes.
